Terms and End User License Agreement

Terms governing Green Pipe Partners websites and the private TaxDesk application.

Effective July 29, 2026

1. Agreement and license

These terms are an agreement between Green Pipe Partners LLC and each authorized user of its websites and TaxDesk application. Subject to these terms, Green Pipe Partners grants authorized personnel a limited, revocable, non-transferable license to use TaxDesk for Green Pipe Partners internal business operations.

2. Authorized use

Users must access only companies and financial data they are authorized to administer. Users may not share credentials, bypass provider controls, interfere with the service, introduce malicious code, or use TaxDesk to access another person's or company's records.

3. Accounting and tax limitations

TaxDesk supports reconciliation and planning. It is not a substitute for professional accounting, legal, payroll, or tax advice; it does not prepare or file returns; and it does not schedule tax payments. Estimates depend on the accuracy and completeness of connected records and user-entered assumptions. A qualified professional should approve classifications, filings, credits, elections, and payments.

4. Third-party services

QuickBooks Online, YNAB, Gusto, and other third-party services are governed by their own terms and availability. Green Pipe Partners does not control those services and is not responsible for provider outages, changed APIs, rejected access, or third-party data errors.

5. Data and security responsibilities

Users must protect local devices, credentials, encryption keys, and provider accounts. Suspected unauthorized access must be reported promptly. Green Pipe Partners may suspend a connection or application feature to protect financial data or comply with provider requirements.

6. Ownership

Green Pipe Partners and its licensors retain their rights in the application, website, branding, and original content. These terms do not transfer ownership of provider data, customer data, or third-party software.

7. Disclaimer and limitation

The application is provided on an as-available basis. To the extent permitted by law, Green Pipe Partners disclaims implied warranties and is not liable for indirect, incidental, special, or consequential loss arising from use of the application or reliance on estimates. Nothing in these terms limits liability that cannot lawfully be limited.

8. Termination and governing law

Authorization ends when access is revoked, employment or authorization ends, or these terms are violated. Sections that by their nature should survive will survive termination. These terms are governed by Texas law, without regard to conflict-of-law rules.

9. Changes and contact

Green Pipe Partners may update these terms as its services or obligations change. Continued use after an update constitutes acceptance of the revised terms. Questions may be sent to info@greenpipe.partners.
